These Terms of Service ("Terms") govern your access to and use of the website and services provided by Exelix Business Solutions ("Exelix", "we", "us", "our"). By using our website at www.exelix.in or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
Exelix provides professional financial services including bookkeeping, taxation (Indian and US), financial modelling, payroll management, import-export consulting, and AI-powered analytics. Services are delivered across India and the United States.
The information published on this website is for general informational purposes only and does not constitute financial, tax, legal, or investment advice. Specific advice is provided only within the context of a formal engagement letter signed by both parties.
All service engagements are governed by an individual engagement letter that specifies the scope of work, deliverables, timelines, and fees. These Terms apply in addition to, and are incorporated into, each engagement letter. In the event of any conflict, the engagement letter prevails.

Exelix is not responsible for errors or omissions in deliverables that arise from incomplete, inaccurate, or untimely information provided by the client.
Fees for services are as agreed in the individual engagement letter. Monthly retainer fees are invoiced at the beginning of each month. Project fees are invoiced upon delivery unless otherwise agreed. All invoices are due within 7 days of issuance.
Late payments may incur interest at 1.5% per month (or the maximum permitted by applicable law, whichever is lower). Exelix reserves the right to suspend services for accounts more than 30 days overdue, without liability for any resulting consequences to the client's compliance obligations.
Exelix treats all client information — including financial records, business strategies, and personal data — as strictly confidential. We will not disclose client data to any third party except:
All Exelix team members are bound by confidentiality agreements. Clients agree to keep all proprietary Exelix methodologies, templates, working papers, and analytical frameworks confidential and not to share them with third parties without prior written consent.
Financial models, dashboard frameworks, analytical templates, and proprietary methodologies developed by Exelix remain the intellectual property of Exelix, regardless of whether they were developed in the course of a client engagement.
Clients receive a non-exclusive, non-transferable, irrevocable licence to use deliverables (e.g., financial models, MIS reports, tax returns) for their own internal business purposes. Clients may not resell, redistribute, sublicence, or publicly distribute Exelix deliverables without prior written consent.
Client-provided data and documents remain the property of the client at all times.
To the maximum extent permitted by applicable law, Exelix's total liability for any claim arising out of or relating to our services is limited to the total fees paid by the client to Exelix in the three calendar months immediately preceding the event giving rise to the claim.
Exelix is not liable for any indirect, consequential, incidental, punitive, or special damages, including but not limited to loss of profits, loss of data, business interruption, or reputational harm, even if advised of the possibility of such damages.
Exelix's services are based on information provided by clients and on the laws and regulations in effect at the time of the engagement. We are not liable for changes in law or regulation that occur after the delivery of a service, or for consequences arising from a client's failure to implement our recommendations.
Our website and its content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. Exelix does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components. Tax laws and compliance requirements change frequently — while we maintain current expertise, clients are responsible for the final review and approval of all filings submitted in their name.
Either party may terminate an ongoing service engagement with 30 days' written notice. Exelix may terminate immediately in the event of a material breach of these Terms by the client, including non-payment of fees.
Upon termination, clients are responsible for all fees incurred up to and including the termination date. Exelix will deliver all completed work product and return all client-owned documents and data within 14 business days of the termination date.
The parties will first attempt to resolve any dispute informally through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration before a mutually agreed arbitrator, with proceedings conducted in English.
For Indian clients: these Terms are governed by the laws of the Republic of India. Disputes are subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.
For US clients: these Terms are governed by the laws of the State of Delaware, USA. Disputes are subject to the exclusive jurisdiction of the courts of Delaware, USA.
Exelix reserves the right to modify these Terms at any time. Material changes will be posted on this page with an updated revision date and communicated to active clients via email. Continued engagement of our services after any modification constitutes acceptance of the updated Terms.
